Why do you *have* to upgrade, and upgrade *now*?
If you're current OS is good enough, Windows 7 won't have any features over XP that will magically transform your PC into an orgasmic experience.
My advice: let it wait.
Wait until specific software come out that actually use all those features, wait until software catches up to the hardware and you can use all that RAM, wait until the hidden security vulnerabilities are ironed out, wait until hardware vendors catch up and write solid drivers, wait until upgrading won't cost a leg.
It isn't critical to upgrade. Unlike Windows 2000, windows 7 is evolutionary not revolutionary (actual neither was 2000, but in that case that was the first NT available for the masses and brought substantial features that transformed your PC).
Finally unless you have a student discount Windows 7 is still damn expensive. If you already have a valid license, I see no reason to once again pay. If you don't but you need a *legit* OS for work I suggest checking out a Linux distro.
Take Ubuntu. You d/l an image, burn it, pop it into the drive and boot from it. Presto. You're already using it without doing anything else. Didn't even have to install it. That's why I suggest that you should *check* Ubuntu out. I *don't* say that you *should* you use it. It may not be good enough for you. You might not have the time to make the switch. But it's so easy nowadays to see what it's like that I think you're doing yourself a disservice if you don't take at least a look.
